ARTICLE I – IDENTIFICATION
Section 1 – The name of the organization shall be “Company H, 1st Maryland Infantry, C.S.A., Inc.”, a non-stock,
non-profit corporation organized and incorporated under the laws of the State of Connecticut.
Section 2 – The principal office and address of the organization shall be that of the home address of the current
Corresponding Secretary as voted by the membership.
ARTICLE II – PURPOSE
Section 1 – The purpose of the organization shall be to promote a general awareness of the history of the Civil
War era, its people, their lifestyle, and their dedication to their beliefs by activities based on education, emulation and
commemoration.
Section 2 – The organization shall not be conducted for profit, nor have nor issue any capital stock, nor shall any
part of its net earnings or income inure to the benefit of any member, officer or director, or other individual, directly or
indirectly, provided however, that employee or agents shall be entitled to reasonable compensation for services
actually rendered to the organization in such amount or amounts as may be authorized by the Board of Directors.
ARTICLE III – MEMBERSHIP
Section 1 – Membership shall be open to any individual successfully completing a probationary period based on
participation, knowledge, and safety practices. All applications will be reviewed by the Board of Directors based on
the recommendations of the military and civilian leadership of the organization. Membership classifications are so
noted in the policies and guidelines of the organization.
Section 2 – Membership shall be denied to any individual or persons affiliated with groups who demonstrate
intolerance toward any sector of American society. The organization shall not discriminate against an individual
because of their race, religion, ethnicity, sex, sexual orientation, age or disability.
Section 3 – Membership dues are payable in January of each year for a period of one year. Mid-year
applications shall be prorated.
Section 4 – All military members intending to participate in historical presentations are required to acquire an
appropriate uniform and proper gear as prescribed in the Manual / Recruit Information packet, by the conclusion of
their probationary period. Civilian members are also required to acquire appropriate period civilian attire by the
conclusion of their probationary period if they wish to participate in such events.
ARTICLE IV – ORGANIZATION STRUCTURE
Section 1 – The organization shall consist of two entities, (1) the Management Board, which shall conduct the
business activities of the organization and (2) the Military Company, which shall conduct the military affairs of the
organization. The Military Company shall consist primarily of an infantry unit with both artillery and civilian
attachments.
ARTICLE V – MANAGEMENT BOARD
Section 1 – The Management Board, also known herein as the Board of Directors, shall manage and conduct the
business activities of the organization subject to the limitations of these bylaws and/or any organizational policies or
guidelines.
Section 2 – The elected officers of the Management Board shall be the President, Vice President, Recording
Secretary, Treasurer, Corresponding Secretary, Civilian Coordinator, Newsletter Editor and Unit Historian. One
individual may hold more than one office in any given year.
Section 3 – The duties and responsibilities of the officers shall be in accordance with these bylaws and any
organizational policies or guidelines.
President
The President shall serve as the Chair to the Board of Directors and will preside at all meetings of the
organization, make special appointments and assignments as necessary, form Committees, be an ex-officio member
of all such Committees, and perform all such duties as may be incidental to the office.
Vice President
The Vice President shall perform all duties assigned by the President or the Board of Directors. In the absence of the
President, he/she shall perform the duties of the President.
Recording Secretary
The Recording Secretary shall be responsible for maintaining the physical records of the organization, take minutes
at all organizational meetings, keep an accurate roster of members, and perform all such duties as may be incidental
to the office.
Treasurer
The Treasurer shall have charge of all monies, bank accounts, and valuable property of the organization, maintain
all insurance policies and financial records, provide a verbal or written account of the organizational finances at any
meeting of the organization, and perform all such duties as may be incidental to the office.
Corresponding Secretary
The Corresponding Secretary shall be responsible for all correspondence with other units and outside organizations,
announcing registration deadlines for unit events, maintaining records of member registrations at those events so
voted on by the organization, and perform all such duties as may be incidental to the office.
Civilian Coordinator
The Civilian Coordinator shall be responsible for the coordination of all civilian activities, the evaluation of
prospective civilian members, the supervision of the civilian members, and all such duties as may be incidental to the
office.
Newsletter Editor
The Newsletter Editor shall be responsible for the publication and distribution of the organization’s NEWSLETTER to
the membership, and all such duties as may be incidental to the office.
Historian
The Historian shall be responsible for maintaining a written record of the activities of the organization which may
include photographs of event participation and maintaining a written history of the original 1st Maryland, and all such
duties as may be incidental to the office.
ARTICLE VI – MILITARY COMPANY
Section 1 – The Military Company shall conduct the military affairs of the organization, subject to the limitations of
these bylaws and or any organizational policies or guidelines.
Section 2 – The elected Officers of the Military Company shall be the Captain and the First Sergeant.
Qualifications for these offices will be so noted in the policies and guidelines of the organization.
Section 3 – The duties and responsibilities of the officers shall be in accordance with these bylaws and any
organizational policies or guidelines.
Captain
The Captain shall be the military commander. There shall be one appointment for the position.
First Sergeant
The First Sergeant shall be the Company Safety Officer. There shall be one appointment for this position
Section 4 – The Military Company (Captain & First Sergeant) shall appoint all other Officers and/or Non-
commissioned Officers, either permanent or temporary, as needed. Qualifications for these offices will be so noted in
the policies and guidelines of the organization.
Section 5 – The remainder of the Company shall consist of Privates or others of designated responsibility.
Section 6 – All Officers of the Military Company will be elected based on merit service to the organization, and
knowledge of military procedures.
ARTICLE VII – ELECTIONS
Section 1 – Elections to fill positions shall be conducted by secret written ballot. Elections will be held at the
annual meeting in the month of January. Nominations for the positions available shall begin at least 30 days prior to
the election and will be posted in the NEWSLETTER at that time prior to the election date. Candidates may be
nominated from the floor at the annual meeting and election will be by simple majority vote.
Section 2 – Election of Management Board officers (Board of Directors) will occur in even-numbered years. Once
elected, the Management Board officers will assume their duties and responsibilities at the conclusion of the annual
meeting.
Section 3 – Election of Military Company officers will occur in odd-numbered years. Once elected, the Military
Company officers will assume their duties and responsibilities at the conclusion of the annual meeting.
ARTICLE VIII – MEETINGS
Section 1 – A minimum of four (4) general membership meetings shall be held within any calendar year. More
meetings may be held if deemed necessary. No more than four months shall pass between meetings.
Section 2 – The Annual meeting of the organization, at which elections are held and consideration and approval
of the year’s activity schedule is made, shall be held each January. This meeting constitutes one of the four required
meetings in ARTICLE VIII; Section 1.
Section 3 – The Management Board may meet as often as necessary to conduct the business of the
organization.
Section 4 - All meetings of the organization shall be governed by “Roberts Rules of Order, revised” except when
guided by the bylaws of the organization and/or its policies and guidelines.
ARTICLE IX – PROCEDURAL POLICIES & GUIDELINES
Section 1 – The organization shall maintain a set of procedural policies and guidelines as needed to address
specific issues of interest to its members.
ARTICLE X – AMENDMENTS & ARTICLES OF INCORPORATION
Section 1 – The bylaws of the organization may be amended at any general meeting of the membership by a 2/3’
s vote of the membership present, provided the proposed amendments are posted 30 days in advance.
Section 2 – The Articles of Incorporation of the organization may be amended at any general meeting of the
membership by a 2/3’s vote of the membership present, provided the proposed amendments are posted 30 days in
advance.
ARTICLE XI – FISCAL YEAR
Section 1 – The fiscal year of the organization shall commence on January 1st and end December 31st.
ARTICLE XII – DISSOLUTION
Section 1 – In the event of dissolution, all of the remaining assets and property of the organization shall, after
payment of all necessary expenses thereof, be distributed to organizations that qualify under Section 501(c)(3) of the
Internal Revenue Service Code of 1986, or corresponding provisions of any subsequent Federal tax laws, or to the
Federal government or State or local governments for a public purpose, subject to the approval of a Justice of the
Supreme Court of the State of Connecticut.
